These terms govern the AgentReady services provided by Providence AI LLC ("Providence AI," "we," "us"). AgentReady is a product of Providence AI LLC. The business that completes the purchase ("you") is the sole contracting party — if you are an agency buying on behalf of a client store, Section 9 applies to you. By purchasing, you accept these terms.
We wrote these in plain English on purpose. They mean what they say.
The AgentReady Audit is a point-in-time readiness review of the WooCommerce catalog records contained in your accepted evidence package (defined in Section 5), checked against the published data requirements of the surfaces named in your order — by default all three: Google Merchant Center, OpenAI commerce feed formats, and the native Stripe for WooCommerce agentic-commerce path.
You receive: a prioritized findings report (PDF) and a SKU/variation-level exception file (CSV) covering the records in your evidence package. Records that are missing from, malformed in, or inaccessible through that package — or that change after you send it — are outside the audit's scope.
Delays on your side (missing files, broken or revoked access) pause the clock until resolved. Events beyond both parties' reasonable control — platform outages, infrastructure failures, force majeure — extend it by the time reasonably lost; if such an event makes delivery impracticable, you receive a full refund.
We check your data against published specifications. We do not control Google, OpenAI, Stripe, or any platform, and we make no guarantee of platform approval, eligibility, listing, ranking, discoverability, "Buy" button placement, transaction volume, traffic, or revenue — express or implied. Platform requirements change without notice; findings are accurate as of the audit date only.
The Audit is a technical readiness review. It is not legal, tax, accounting, or investment advice, and it is not an endorsement by or affiliation with Google, OpenAI, Stripe, Automattic/WooCommerce, or any platform. All trademarks belong to their owners.
An Activation is $499 for a written scope of work that we send and you accept before work begins. Larger engagements are quoted separately in writing. The scope lists exactly what is included — for example: identifier fixes, product-data completion, configuration of native feed paths that are available to your store, and preparation and submission of platform applications for programs that are eligible and available to your store at the time of the work.
Expressly excluded from every Activation: custom checkout builds, custom connectors, delegated-payment implementations, and any guarantee of platform approval, acceptance timeline, or in-chat purchasing. The deliverable is the completed scoped work plus written evidence of what was done and submitted. Section 3 applies fully: submission is ours to deliver; approval is the platform's to give.
Order of precedence: if documents conflict, the accepted written scope governs, then your purchase receipt, then these terms.
Your "evidence package" is the catalog data we audit. The standard path is a catalog export (product/variation export files), sent only through the secure upload method we specify in your intake instructions — never by email, chat, or an ordinary web form.
We accept WooCommerce API credentials only when we offer you a specific secure transfer process for them. When we do: credentials must be read-only; you may revoke them at any time; and our use of them is limited to performing the purchased service. If you send credentials through any channel we did not specify, we will ask you to revoke and reissue them.
You confirm you have the authority to provide the data and access you provide.
If you purchase on behalf of a client store: you are the sole contracting party; these terms create no rights for your client or any third party; you warrant that your client has authorized the data access and the audit; and you are responsible for how you use and share the deliverables. Any future monitoring or ongoing service, if offered, will be governed by its own separate terms — nothing in this purchase includes or promises one.
To the maximum extent permitted by law: our total liability arising out of or relating to a service is capped at the amount you paid us for that service. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, or lost data — even if advised of the possibility. We are not responsible for decisions you or platforms make based on the report, or for changes platforms make to their requirements, timelines, or programs. Except for the express commitments in these terms, services are provided "as is" without warranties of any kind, express or implied.
Nothing in these terms limits liability for fraud or willful misconduct, or any liability that cannot lawfully be limited.
